Process Discovery (FortressIQ)

The following terms apply to AAI's Process Discovery and are governed by and supplement the terms and conditions of AAI's Cloud Automation Agreement, available at cloud automation agreement, or such other cloud agreement negotiated between AAI and Customer (the “Agreement”). Terms capitalized but not defined herein shall have the meanings given to them in the Agreement.

“Authorized User” means each of the individuals (including employees, officers, directors, partners, agents, consultants, and advisors of Customer) authorized in writing, or through the security designation, to Use the SaaS Services by or on behalf of Customer pursuant to Section 1.1 below.

“Credit” means data collected for a period of one (1) Active Day from one (1) Observer. “Active Day” means any day (midnight to midnight UTC) during which an Observer collects a meaningful level of process data, including business days, non-business days and holidays; one (1) Credit is debited for any Active Day in which 200 or more events are collected. If there are days where there are less than 200 events collected, such day is not considered an Active Day. Customer shall have the number of Credits stated in the Order Form. Credits must be used within the then-existing subscription term and, if unused, shall expire at the end of such subscription term. Processing and analysis of collected data is included with each Credit. Once a Credit is used, data collection on the machine is complete. If additional data collection on the machine is desired, new Credits will apply.

“Documentation” means any manuals, instructions or other documents or materials that AAI makes generally available with the SaaS Services.

“Observer” means the unique combination of machine and username.

“Permitted Use” means the parameters for the number of machines on which the Software Sensor and PEG are installed, and the number of Credits analyzed by the SaaS Software, as described in the Order Form. The Permitted Use parameters help ensure a sufficient variety and quantity of data is processed by the SaaS Software to allow the SaaS Software to perform its tasks.

“Privacy Enhanced Gateway (PEG)” means an AAI on-premises appliance that resides on Customer's internal systems which redacts sensitive data that's included in video frames collected by the AAI desktop sensor. This redaction occurs within Customer's own Virtual Private Cloud (VPC) before the redacted data is forwarded to the SaaS Software.

“SaaS Services” means, collectively, AAI's Process Discovery software-as-a-service applications, including SaaS Software, Software Sensor and PEG (as applicable) as described in the Documentation and subscribed to under an Order Form.

“SaaS Software” means the Process Discovery software-as-a-service which AAI provides to Customer, as described in the Order Form.

“Software Sensor” means the AAI on-premises, distributed software program (or bot) installed by Customer on machines in the Territory used by Customer personnel whose work-flow tasks will be assessed by the SaaS Software as described in the Order Form. The Software Sensor does not require interaction with Authorized Users to perform its tasks.

“Territory” is defined in the Order Form.

“Use” means to take any action or perform any operation or set of operations that the SaaS Services are capable of taking or performing, on any data, information or other content, including to collect, access, receive, input, upload, download, record, reproduce, store, organize, compile, combine, log, catalog, cross-reference, manage, maintain, process, retrieve, output, consult, perform, display, disseminate, transmit, submit, post, transfer, disclose or otherwise provide or make available, or block, erase or destroy. “Using” and “Used” have correlative meanings.

  Access and Use.

    Access and Use.

    • (a)

      Software Sensor and PEG. Subject to the terms and conditions of this Agreement, AAI grants Customer a non-exclusive and non-transferable (except pursuant to assignment), license to, and to permit its Authorized Users to, reproduce and install the Software Sensor and PEG, on multiple machines in the Territory under the control of Customer, solely in accordance with the Permitted Use and Documentation. AAI shall deliver the Software Sensor and PEG to Customer electronically promptly following the Effective Date. Subject to this Agreement, Customer or its Authorized Users may make one (1) back-up archival copy of the Software Sensor and PEG for each installation. Customer may activate its back-up copy only in the event that the primary instance is unavailable, and only for the duration of such unavailability.

    • (b)

      SaaS Software. Subject to the terms and conditions of this Agreement, AAI shall provide to Customer and its Authorized Users access to and Use of the SaaS Software on a non-exclusive and non-transferable (except pursuant to assignment) basis, solely in accordance with the Documentation.

  • 1.2

    Use of PEG. Customer shall be responsible for the setup and operation of PEG, with assistance from AAI as requested, and shall make determinations as to the types of Customer Confidential Information and Customer Data (collectively, for purposes of this section, “Sensitive Information”) to be irreversibly masked using PEG. Customer shall use best efforts, utilizing PEG, to irreversibly mask Sensitive Information so that it is not sent to AAI's cloud environment.

A+ Tokens Terms & Conditions

Automation Anywhere, Inc. (“AAI”) A+ Tokens are pre-paid tokens that customers can use to redeem against a published set of individual A+ Accelerators. Each A+ Accelerator is a fixed, outcome-based offering that can be consumed at any point along the customer’s digital automation journey. They are not a time & materials-based services engagement. All A+ Accelerator packages shall be subject to a dually executed Master Services Agreement or other acceptable governing agreement, such as an AAI On-Premise License Agreement or Cloud Automation Agreement (a “Governing Agreement”)

Validity

• The subscription term for the A+ Tokens starts on the Order Start Date and ends on the Order End Date as per the applicable Order Form.
• Any unused tokens will expire at the end of the subscription term and cannot be refunded or carried forward.

Redeeming A+ Tokens:

• A+ Tokens are non-refundable and cannot be redeemed for any product licenses or services offering that is outside of the A+ Accelerator catalog.
• A+ Accelerators can be requested through the AAI customer success manager or the account manager.
• A+ Accelerators can be consumed at any point during the subscription term but can only be consumed one at a time per customer.
• A+ Accelerators are subject to geographic availability and are currently available in English.
• AAI will be periodically expanding the A+ Accelerator catalog (library) and reserves the right to modify the individual A+ Accelerator at its sole discretion.

Delivery of A+ Accelerators:

• A+ Accelerators will be delivered remotely.
• A+ Accelerators will be delivered during normal business hours, which is Monday-Friday between 9:00 AM and 5:00 PM in a time zone local to the customer, subject to geographic availability. Weekends and holidays are not included in normal business hours.
• There is no intellectual property transfer when delivering accelerators given that they are advisory in nature. Each party shall retain all rights to their own intellectual property.
• All data privacy policies shall be subject to the appropriate Governing Agreement.

A+ Token Balance:

• Customer is responsible for managing the balance on their A+ Tokens and can reach out to the customer success manager for balance status.
• Customer can purchase additional A+ Tokens at any time during their subscription term following the same approach as buying licenses from AAI.

A+ Accelerators

Restricted User Terms for AAI Citizen Developer Licenses

The following terms apply to AAI's Citizen Developer licenses and are governed by and supplement the terms and conditions of the applicable governing agreement between AAI and Customer; AAI's Cloud Automation Agreement for AAI’s cloud services, available at cloud automation agreement, or AAI’s On-Premise Software License Agreement, available at on-premise software license agreement, or such other agreement negotiated between AAI and Customer (the “Agreement”). Terms capitalized but not defined herein shall have the meanings given to them in the Agreement.

License Grant

• Each Citizen Developer license shall be limited in use and licensed to a single, named user only. A single licensed named user may only be assigned to and access a single control room at one time.

Use Restriction

• Customers purchasing Citizen Developer license(s) from AAI are restricted from using a Citizen Developer license to access the following packages, features, and related functions – (1) Advanced Packages, (2) Enterprise Packages, (3) Custom Packages & (4) Other Advanced Features.

Restriction implementation

• Access to (1) Advanced Packages, (2) Enterprise Packages, & (3) Custom Packages shall be restricted by Customer’s Center Of Excellence admin user using the Role-Based Access Control feature for package management.

  Advanced Packages:

  2	Bot Migration	The Bot Migration package allows a user to migrate a v10 or v11 bot to Automation 360 format. It also allows the user to convert a v10, v11, or Automation 360 bot that uses IE to Edge with IE mode.
  3	DLL	The DLL package allows a user to automate running any function from the referenced DLL file.
  4	Document Extraction	The Document Extraction package allows a user to automate processing of documents by means of extracting data from the document and downloading it to a specific location.
  5	Google DocAI	The Google DocAI package allows a user to automate document extraction using the Google Document AI capabilities.
  6	Document Automation	The Document Automation package allows a user to automate uploading and downloading of documents to/from the Document Automation Server.
  7	JavaScript	The JavaScript package allows a user to automate running any function from the JavaScript text or file.
  8	JSON	The JSON package allows a user to automate extracting the required information from the JSON text or file.
  9	Ping	The Ping package allows a user to automate pinging a machine in the network to verify if it is running or not. This package is available in the form of a condition within the If package.
  10	Python Script	The Python Script package allows a user to automate executing a Python function or script.
  11	REST Web Service	The REST Web Service package allows a user to automate sending a request using different methods of the REST APIs and receiving their response.
  12	SNMP	The SNMP package allows a user to automate network management tasks such as monitoring network devices that are configured with SNMP agent.
  13	SOAP Web Service	The SOAP Web Service package allows a user to automate accessing and exchanging information between two systems or applications in XML format.
  14	VBScript	The VBScript package allows a user to automate executing a function or script from the text or VBScript file.
  15	Workload	The Workload package allows a user to insert work items in a queue for workload automation.
  16	XML	The XML package allows a user to automate processing of XML data from the XML document.

  Enterprise App Packages:

  • Salesforce - the Salesforce package allows user to automate processes in Salesforce application using the Lightning Platform APIs
  • SAP BAPI - the SAP BAPI package allows user to automate processes in SAP application using the SAP Business APIs
  • Genesys - the Genesys package allows user to automate common onboarding and updating tasks in Genesys application
  • ServiceNow - the ServiceNow package allows user to automate processes in ServiceNow application and perform actions on record, attachment and event triggers using the ServiceNow APIs
  • Apigee - the Apigee package allows user to connect to Apigee instance and execute integrations

  Custom Packages: All custom packages from the Bot Store or packages created by a Center Of Excellence are restricted from use by the Citizen Developer licenses.

• (4)

  Restricted Advanced Features – the following advanced features may not be used or accessed using a Citizen Developer license:

  • Control Room (CR) APIs - The Control Room APIs allow users to automate the management of users, roles, credentials, tasks, devices, schedules etc. by calling the respective API endpoints of Control Room; the Control Room API feature is to be restricted by the Control Room admin user via restricting user permissions.
  • Device Pools - The Device Pools allow users to create logical grouping of devices or similar unattended Bot Runner machines on which they can run their workload management automations or scheduled unattended automations; Device Pool management feature is to be restricted by the Control Room admin user via restricting user permissions.
  • AISense Recorder - Recording using AISense allows users to automate tasks on applications that are accessed remotely in a Citrix environment.
  • Global values - The Global values allow an Admin user to create and set global value variables with a default value which can be used across all the bots or can be overwritten by individual users.

Terms for Artificial Intelligence Components (“AI Terms”)

The following terms apply to the AI Features (as defined below) in the Automation Anywhere, Inc. (“AAI”) Automation + AI Products listed herein and are governed by and supplement the terms and conditions of AAI's Cloud Automation Agreement, available at cloud automation agreement, or such other agreement negotiated between AAI and Customer (the “Agreement”). Terms capitalized but not defined herein shall have the meanings given to them in the Agreement.

AAI’s Principles for Responsible Use of AI

Customer acknowledges AAI’s commitment to and framework for the responsible use of AI and agrees not to use the AI Features in a manner that would be inconsistent therewith.

Terms and Conditions

• 1.

  Use of AI Features. Customer may submit Customer Data (including in the form of prompts or queries) to the AI Features ("Inputs") and receive outputs from the AI Features ("Outputs"). “AI Features” means the large language models (“LLMs”) or other machine learning or artificial intelligence features of the Automation + AI Products.

• 2.

  Training. AAI may use Inputs and Outputs to train and improve the AI Features, but only if such Inputs and Outputs have been (a) de-identified so that they do not identify Customer, its users, or any other person and (b) aggregated with data of other customers. For these purposes (and without limiting Customer’s other obligations with respect to Customer Data generally), such data is provided by Customer to AAI strictly "AS IS".

• 3.

  Outputs. Where the Output contains contents of text, audio, documents, images, or files submitted by Customer to the Services, Outputs are deemed to be Customer Data, subject to these AI Terms. Where the Output contains suggestions, commands, or components of a bot, Customer is authorized to use Outputs subject to the terms of the Agreement, including these AI Terms.

• 4.

  Similar Outputs. Customer acknowledges that Outputs provided to Customer may be similar or identical to Outputs independently provided by AAI to others.

• 5.

  Infringement by Outputs. Due to the nature of the AI Features, and because Customer controls the content of the Inputs, AAI does not represent or warrant that (a) any Output does not incorporate or reflect third-party content or materials or (b) any Output will not infringe third-party intellectual property rights. AAI disclaims any liability for claims of intellectual property infringement or misappropriation by Outputs, including claims for indemnity in relation thereto, and any such claims are excluded from AAI’s indemnity obligations under the Agreement.

• 6.

  Disclaimer. OUTPUTS ARE GENERATED THROUGH MACHINE LEARNING PROCESSES AND ARE NOT TESTED, VERIFIED, ENDORSED OR GUARANTEED TO BE ACCURATE, COMPLETE OR CURRENT BY AAI. CUSTOMER SHOULD INDEPENDENTLY REVIEW AND VERIFY ALL OUTPUTS AS TO APPROPRIATENESS FOR ANY OR ALL CUSTOMER USE CASES OR APPLICATIONS. THE WARRANTY DISCLAIMERS AND LIMITATIONS OF LIABILITY IN THE AGREEMENT FOR THE SERVICES PROVIDED UNDER THE CLOUD AUTOMATION AGREEMENT APPLY TO THE AI FEATURES.

• 7.

  Third Party Terms. Customer agrees to abide by any third-party terms, conditions, and restrictions relating to the AI Features specified under "Third-Party Terms" below.

• 8.

  Compliance with Law. AI Features may not be used in any way prohibited by law, regulation, government order, or decree, or for any use that violates the rights of third parties. Human oversight and any legally required assessments and processes are required.

• 9.

  Disallowed Customer Usage of AI Features.The AI Features may not:

  • a.

    be used for social scoring or predictive profiling that would lead to discriminatory, unfair, biased, detrimental, unfavorable, or harmful treatment of certain persons or groups of persons;

  • b.

    categorize people based on their biometric data to infer characteristics or affiliations about them such as race, political opinions, trade union membership, religious or philosophical beliefs, or sex life or sexual orientation;

  • c.

    without the individual’s valid consent, be used for ongoing surveillance or real-time or near real-time identification or persistent tracking of the individual using any of their personal information, including biometric data;

  • d.

    make decisions without appropriate human oversight if your application may have a consequential impact on any individual’s legal position, financial position, life opportunities, employment opportunities, human rights, or result in physical or psychological injury to an individual;

  • e.

    engage in the unauthorized practice of law, or offer tailored legal advice without a qualified person reviewing the information (our AI Features are not fine-tuned to provide legal advice - you should not rely on our AI Features as a sole source of legal advice);

  • f.

    offer tailored financial or tax advice without a qualified person reviewing the information (our AI Features are not fine-tuned to provide financial or tax advice - you should not rely on our AI Features as a sole source of financial or tax advice); or

  • g.

    tell someone that they have or do not have a certain health condition, or provide instructions on how to cure or treat a health condition (our AI Features are not fine-tuned to provide medical information - you should never use our AI Features to provide diagnostic or treatment services for serious medical conditions).

• 10.

  Bring Your Own License (“BYOL”) Applications. If Customer chooses to bring its own LLMs or other machine learning or artificial intelligence features to integrate with the AAI Automation Success Platform (each a “BYOL Application”), Customer’s use of the BYOL Application will be subject to the terms applicable to that BYOL Application, and these AI Terms shall not apply.
